trace:original – Online Purchase Terms

Effective Date: 27 June 2025

These Online Purchase terms (“Terms”) govern the purchase and use of trace:original services provided by Enigio AB (“Enigio”). By purchasing document packages and using the Service, you (“Customer”) accept and agree to be legally bound by these Terms.

1. Definitions

CET (Central European Time): The time zone used in central Europe, which is UTC+1 during standard time and UTC+2 during daylight saving time (typically from the last Sunday in March to the last Sunday in October).

Customer: The individual or organisation purchasing and using the Service, either through an Online Package or an Enterprise Subscription.

Document Package: A monthly subscription-based allocation that includes a specified number of trace:original Documents and Envelopes.

Envelope: A digital container for securely transferring multiple documents of both trace:original and non trace:original documents to a recipient via e-mail.

Enterprise Subscription: A customised subscription agreement between Enigio and an organisation requiring a dedicated Full Node deployment and/or additional features such as custom integrations, branding, enhanced SLAs, and professional services. Enterprise Subscriptions are subject to separate terms and conditions agreed individually with the Customer.

Full Node: A dedicated instance of the trace:original system deployed and fully managed by Enigio for a single Customer. It includes complete document creation and management functionality, cryptographic governance, and optional enterprise-specific configurations (e.g., APIs, branding, SLA guarantees). A Customer dedicated Full Node is only available via a separate Enterprise Subscription.

GDPR means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation), including any applicable implementing legislation or regulations in any Member State of the European Union or the European Economic Area.

Multi-Tenant Node: A secure, Enigio managed trace:original Full Node instance that serves multiple Customers simultaneously. Each Customer’s documents, metadata, and cryptographic keys are logically separated to ensure confidentiality and control.

Service: Access to Enigio’s hosted environment for creating and managing trace:original Documents and Envelopes.

Subscription Fee: The prepaid amount charged for access to the Service, including the use of the trace:original system and a specified Document Package. The Subscription Fee is billed in advance monthly and is non-refundable once access is granted.

Support Hours: 09:00–17:00 CET on Swedish business days.

trace:original Document: An electronic original document created and managed using the Service.

2. Scope of the service

The Service includes access to the trace:original system for creating and managing trace:original Documents and Envelopes. Online Customers access this Service through a Multi-Tenant Node hosted and managed by Enigio. Each Customer operates within a logically segregated environment, ensuring the confidentiality of documents, metadata, and cryptographic keys. The node forms part of Enigio’s overall trace:original infrastructure and connects to the trace:original ledger, enabling full traceability and verification.

The system is designed to be fully compliant with the UNCITRAL Model Law for Electronic Transferable Records (“MLETR”) and with applicable national legislation enacted on its basis. It also adheres to applicable U.S. legislation concerning electronic records and signatures, including the Electronic Signatures in Global and National Commerce Act (“ESIGN Act”) and the Uniform Electronic Transactions Act (“UETA”), where applicable. In addition, the system supports structured data formats aligned with international standards for digital trade, facilitating compatibility with global trade processes.

It includes:

  • A patented cryptographic assurance system with central governance of a distributed, block-chained ledger, independently validated and approved by its participants.
  • A secure network and infrastructure that allows participants and stakeholders to share a common trust in:
    • what is considered the original of a document;
    • what is the current version of that original; and
    • who is the current holder of the original document.
  • The ledger records only cryptographic references, digital signatures, and public keys, no document content is stored on the ledger.
  • The ability to create, manage, and send trace:original Envelopes, a versatile electronic container designed to hold and transfer originals, copies, and other documents within a single, verifiable package.
  • Access to the public web node at https://traceoriginal.com is available to anyone to verify the authenticity or proof of possession of trace:original Documents, as well as for managing such documents, even without being an Enigio Customer.

This version of the Service does not include a dedicated Full Node unless agreed separately under an Enterprise Subscription.

3. Access types

Online Package Access

Customers purchasing document packages online receive access to an own tenant within a Multi-Tenant Node hosted and managed by Enigio. Each document package includes a set number of trace:original Documents and Envelopes, available for use during the monthly subscription period.

This includes:

  • Web-based interface for creating and managing supported document types.
  • Access to trace:original Envelopes for packaging and transferring documents.
  • Secure document issuance within purchased usage limits.
  • Basic email support is available on Swedish business days, during business hours (09:00–17:00 CET).
  • The system is designed to maintain a minimum monthly uptime of 99%.
  • No dedicated infrastructure setup or dedicated Full Node environment is included.

Enterprise Subscription

For organisations with advanced requirements, such as dedicated infrastructure, custom security configurations, integration with their own e-signature or email services, tenant-specific environments, SSO federation, branding, or technical onboarding, Enigio offers dedicated Full Node deployments under an Enterprise Subscription, supported by custom SLAs and professional services. 4. Document and envelope use

  • trace:original Document and Envelope usage is limited to the types and quantities purchased.
  • Each trace:original Document inside an Envelope counts toward the usage quota of its specific document type within the package. Quotas are tracked per document type.
  • Verification of trace:original documents, proof of possession as well as envelope manifest documents are possible via the trace:original public web node at https://traceoriginal.com, regardless of whether the document originated from a Multi-Tenant Node or dedicated deployment.

5. Electronic signatures

  • The Service includes a secure electronic signature that meets the baseline requirements for electronic signatures under the eIDAS Regulation.
  • Specific third-party integrations (e.g., DocuSign, Adobe Sign, Signicat), as well as integration with custom email services and SSO federation, are available exclusively to Customers under an Enterprise Subscription.
  • Customers are responsible for verifying whether the signature level meets their legal requirements.

6. Customer responsibilities

  • Use the Service only for approved business purposes and authorised document types.
  • Do not resell, sublicense, or share access outside your organisation.
  • Ensure compliance with applicable laws, especially for negotiable or legally binding documents.
  • Do not modify the trace:original Document’s structure, metadata, or traceability using tools other than trace:original (e.g., external PDF editors), as unauthorised changes may be detected and could invalidate the document within the trace:original service.

7. Fees and billing

  • Document Package pricing is based on use of the Service via Enigio’s Multi-Tenant Node model. Provisioning a dedicated Full Node is not included and requires a separate Enterprise Subscription.
  • All fees are charged in EUR, excluding VAT or applicable local taxes.
  • Subscription fees are paid in advance at the time of purchase.
  • Enigio reserves the right to revise pricing with 30 days' notice. Pricing changes will apply only to future purchases.

8. Payment terms

  • Subscription fees are due immediately upon purchase.
  • Late payments may incur interest at EURIBOR + 8% per annum.

9. Support and maintenance

  • Support for users of the Multi-Tenant Node is limited to online documentation, support via email and support portal . Infrastructure customisation and use case specific API support are available only under Enterprise Subscription.
  • Email-based support is available during Support Hours (Swedish business days, 09:00–17:00 CET) via support@enigio.com. Users can also track their tickets through the support portal.
  • For Online Package users, the system is provided with a 99% uptime target and a response time of up to 24 hours during Support Hours (09:00–17:00 CET on Swedish business days). These are service targets and not contractually guaranteed unless otherwise agreed.
  • Enigio may schedule maintenance that temporarily affects access.

10. Term and termination

  • Access to the Service begins at the time of purchase and is automatically renewed unless terminated prior to the renewal date.
  • Enigio may suspend or terminate access for misuse, breach of Terms, or non-payment.
  • Either party may terminate in the event of material breach with 30 days’ notice.
  • In the event of termination, the Customer will have 30 days from the termination date to access the system for the purpose of transferring or exporting their trace:original Documents, unless access was terminated due to unlawful use or severe breach of contract.

11. Returns and cancellations

  • Fees are non-refundable once access to the Service has been granted.
  • A partial credit may be issued if the Enigio system is unavailable for more than one Swedish business day due to Enigio’s own fault.
  • Customers may not cancel or transfer access after purchase. However, they may terminate their subscription at any time. As subscriptions are prepaid, Customers will retain full access to the Service for the remainder of the current billing month.
  • Following termination, Customers will retain limited access to the system for a period of 30 days, solely for the purpose of transferring or exporting their trace:original Documents and Envelopes, unless termination was due to unlawful use or a severe breach of contract.

12. Confidentiality and data protection

  • Enigio acts as a data processor, the Customer remains the data controller.
  • Enigio complies with GDPR and applies appropriate security controls.
  • A separate data processing agreement is available for Customers under an Enterprise Subscription.

13. Intellectual property

  • All rights to the Service, software, and documentation remain with Enigio.
  • Customers receive a limited, non-exclusive, non-transferable license to use the Service during the access period.
  • No ownership, source code, or IP rights are transferred.

14. Limitations of Liability

  • Enigio’s total liability is capped at the amount paid by the Customer in the 12 months preceding the claim.
  • Enigio is not liable for indirect, incidental, or consequential damages.
  • The Service is provided "as is", with no guarantee of uninterrupted or error-free performance.

15. Governing law and dispute resolution

  • These Terms are governed by English law.
  • Disputes will be resolved through arbitration under the London Chamber of Commerce and Industry (LCCI), seated in London, in English.
  • Enigio may pursue unpaid fees in any court with appropriate jurisdiction.
